1. Introduction

These Terms and Conditions (“Terms”) govern your use of services provided by SpruceMySite (“we,” “us,” “our”), a web design and digital marketing agency based in Bondi Junction, Sydney, Australia. By engaging our services, accessing our website, or signing a proposal or invoice with us, you (“Client,” “you”) agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our services.

2. Services

SpruceMySite provides digital services which may include, but are not limited to:

The specific scope, deliverables, timeline, and pricing for any engagement will be set out in a separate proposal, quote, order form, or statement of work (“Order”), which forms part of these Terms once accepted.

3. Quotes, Payment and Fees

3.1 All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.

3.2 Payment terms (e.g. deposit, milestone payments, or recurring subscription) will be specified in your Order. Unless otherwise agreed, a non-refundable deposit is required before work commences.

3.3 Recurring services (e.g. hosting, managed care, retainers) are billed on a recurring basis (monthly or as agreed) and will continue until cancelled in accordance with Section 7.

3.4 Late payments may incur a late fee and/or suspension of services until the account is brought current.

3.5 Prices are subject to change with reasonable notice for ongoing/recurring services.

4. Client Responsibilities

4.1 You agree to provide timely feedback, content, access credentials, and approvals reasonably required for us to deliver the services.

4.2 Delays caused by late client feedback or missing materials may extend project timelines and are not the responsibility of SpruceMySite.

4.3 You warrant that any content, images, logos, trademarks, or materials you provide to us do not infringe the intellectual property or rights of any third party, and you agree to indemnify us against any claims arising from such materials.

5. Intellectual Property

5.1 Upon receipt of full payment, ownership of the final website design and custom deliverables created specifically for you will transfer to you, except for:

5.3 SpruceMySite reserves the right to showcase completed work in its portfolio, case studies, and marketing materials, unless you request otherwise in writing.

6. Website Maintenance and Hosting

Where hosting or ongoing maintenance is included as part of your package, this is provided on a subscription basis. SpruceMySite is not liable for downtime caused by third-party hosting providers, domain registrars, or platform outages beyond our reasonable control.

7. Cancellation and Refunds

7.1 One-off project work: Deposits are non-refundable once work has commenced. If a project is cancelled partway through, fees for work completed to date will be invoiced and are payable.

7.2 Recurring/subscription services: You may cancel recurring services at any time by providing written notice. Cancellation will take effect at the end of the current billing cycle. No partial refunds are provided for the current billing period.

7.3 We reserve the right to terminate services for non-payment or breach of these Terms, with notice where reasonably possible.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, SpruceMySite’s total liability for any claim arising from or related to our services is limited to the total fees paid by you for the specific service giving rise to the claim in the preceding three (3) months.

8.2 We are not liable for indirect, incidental, or consequential losses, including loss of profits, loss of data, or loss of business opportunity.

8.3 Nothing in these Terms excludes any guarantee, right, or remedy which cannot lawfully be excluded under the Australian Consumer Law.

9. Results and Performance

While we apply industry best practices to SEO, marketing, and website performance, we do not guarantee specific rankings, traffic, lead volume, or revenue outcomes, as these are influenced by factors outside our control (e.g. search engine algorithm changes, market conditions, competitor activity).

10. Third-Party Platforms

Some services rely on third-party platforms (e.g. GoHighLevel, Google, Meta, hosting providers). SpruceMySite is not responsible for changes, outages, pricing changes, or policy changes made by these third parties.

11. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement, and not to disclose it to third parties without consent, except as required by law.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
